By engaging Quietcom's services, you agree to the following terms. These apply to all clients of Quietcom (Bangalore, India · Toronto, Canada).
We provide AI-powered ecommerce management — catalogues, SEO, marketplace listings, performance marketing infrastructure, social content, and custom dev — through our Platform (AI agents) and a dedicated Expert Operator. Paid ad campaign management and logistics operations are not included unless agreed separately.
Fixed monthly fee as agreed in your service proposal — no surprise charges. Invoices are due within 14 days. Late payments attract 1.5% monthly interest. Services may be suspended after 30 days of non-payment. All fees exclude applicable taxes (GST/HST).
Both parties keep each other's business information confidential during and for 3 years after the engagement. We will not share or use your data for any purpose other than delivering your services.
We commit to skilled, diligent execution. We do not guarantee specific revenue, rankings, sales volumes, or ad performance — these depend on market and platform factors outside our control.
Quietcom is not liable for indirect or consequential losses. Our total liability is capped at fees paid in the 3 months preceding any claim. We are not responsible for third-party platform outages, policy changes, or account suspensions.
Either party may terminate with 30 days' written notice. Immediate termination applies in cases of material breach (unremedied after 14 days' notice), insolvency, or fraud. On termination, all outstanding fees are due, and we'll assist with transition for up to 30 days at standard rates.
These Terms are governed by the laws of Karnataka, India. Disputes are resolved by good-faith negotiation first, then binding arbitration in Bangalore under the Arbitration and Conciliation Act, 1996.
